Contract for the Insiders page. Read this before adding a row. Rows live in `data/insiders.json`. This file is the rules, not the catalog.

## What a row is

One filing event. Newest first. Do not rebuild the file.

- A Form 4 sale is one row, even when the form splits it into lots. Sum the sale lots. Heading: `Adam Spice sold 140,157 at $70.82 · 10b5-1`. The plan suffix only if the filing says 10b5-1.
- A code G transfer is its own row, not a sale. Heading: `Adam Spice transferred 62,724`.
- A Form 144 is one proposed row. Heading: `Adam Spice proposed 140,157, about $9,766,140`. Value is whole dollars. Do not remove it when the sale files. Do not invent a person or a size.
- An amendment points at the accession it amends. It does not add a second sale.
- RSU grants, option awards, and Form 3 initial holdings stay off the page. 13D and 13G stay off the page.

## Kind label

The right-hand label is the kind. One label. Muted grey. No column title.

- `SALE` — a discretionary sale. No tag.
- `SELL TO COVER` — tag `tax`. Footnote says sell-to-cover or tax withholding.
- `GIFT` — tag `gift`. Footnote says gift, or the code is G and the footnote does not say trust or distribution.
- `TO TRUST` — tag `trust`. Footnote says a no-consideration transfer into a trust.
- `FROM PARTNERSHIP` — tag `distribution`. Footnote says a Rule 16a-9 partnership distribution.
- `PROPOSED` — kind `proposed`. A Form 144 notice.

A mixed filing is two rows. A gift and a sale on the same form do not share a label. A 10b5-1 sell-to-cover stays `SELL TO COVER`, with `10b5-1` in the sentence.

## Fields

`date` is the transaction date, or the approximate sale date on a 144. `person` is normalized (`Adam Spice`, not `Spice Adam C.`). `role` is short: CEO, CFO, COO, President, General Counsel, Controller, EVP, Director. `url` is the EDGAR index. `accession` is required. A row with no accession cannot be tagged later.

## Who writes it

Chat owns the shell (`insiders.html`) and this file. The paused insiders job may append new rows to `data/insiders.json` only. It does not edit HTML, this file, or the desk. The weekday news jobs may mirror a new catalog row onto desk `recent` for 72 hours, using that row's EDGAR index as `url`. They must not write this catalog.
